Terms And Conditions
SERVICE AGREEMENT
Last updated October 18, 2026.
This agreement is between the customer (“Client”) and Brokerteq Tech, LLC (“Brokerteq”). It applies when Client creates an account, starts a subscription, or uses https://app.brokerteq.com.
1. The service
Brokerteq provides Client’s brokerage workspace, including transactions, documents, commission records, team access, and the connections Client turns on. Client’s users are the people Client authorizes.
2. Subscription, cancellation, and failed payment
The subscription is the monthly or annual plan selected at checkout. The current published prices are $299 per month or $2,999 per year, including one broker seat. Each added admin or agent is $25 per user per month. The price that applies is the price at checkout. There is no minimum commitment beyond that selected billing period. Payments are nonrefundable.
The office broker can cancel from the billing portal. Cancellation stops the next renewal. Access continues through the end of the period already paid and ends afterward. Client should download the records available in the service before that access ends. Brokerteq keeps the stored records after access ends. After access ends, Client may email support@brokerteq.com with export questions. Help with an export does not restore application access.
Fees are billed through Stripe. If a Brokerteq subscription payment fails and the subscription remains past due or unpaid, the office keeps application access for seven calendar days from the first failure of that invoice. A retry of the same invoice does not extend the seven days. After the seventh day, transactions and the rest of the workspace are unavailable until the subscription is brought current. Settings remains available, including subscriptions and wallet, so the office can update payment. If the subscription is canceled, access follows the cancellation rule above.
Brokerteq may change fees on renewal by notice given at least 30 days before the renewal. Applicable taxes are added.
3. Connected services
Client may connect a third-party service, such as Lofty, from Settings. Client is responsible for having the right to authorize that connection. The Lofty connection uses Lofty’s OAuth scope named openApi. Brokerteq stores that office’s authorization and uses it to receive the records and notifications the office has enrolled and to send the updates the office keeps aligned. Detailed sync rules are in the integration documentation.
Client may disconnect from Settings. Disconnecting stops further use of the authorization and requests that notifications stop. Records already saved in Brokerteq remain in Brokerteq. Disconnecting does not cancel a Lofty subscription.
A third party’s own terms apply to that party’s service. Brokerteq does not control that service’s availability. A customer who purchases Lofty independently is billed under that customer’s agreement with Lofty.
4. Client’s records
Records, documents, and contact information that Client or its users submit remain Client’s. Brokerteq uses them to provide the service and as the privacy notice describes. Brokerteq retains those records in its systems. Retention does not continue Client’s application access after the paid period ends.
5. Email
Client and its users will follow the CAN-SPAM Act and Brokerteq’s email rules. They will not turn off consumer protections on email sent through the service. If they import a list, they represent that each recipient has agreed to receive that email. Client will cover Brokerteq’s costs and damages arising from a breach of this section.
6. License and restrictions
During the subscription, Brokerteq grants Client a non-exclusive, non-transferable, non-sublicensable license to use the service and to let its users use it. Brokerteq retains all right, title, and interest in the service.
Client and its users will not reverse engineer the service, except where the law forbids that limit; remove proprietary notices; rent, sell, or sublicense the service; use it as a service bureau for third parties; or copy it to build a competing product. Client will not misuse the service or attempt to access another customer’s office.
7. Confidentiality
Each party will keep the other party’s non-public business and account information confidential and will use it only to perform this agreement. These limits do not apply to information that is public through no fault of the receiving party, already known, independently developed, or required by law to be disclosed.
8. Client’s responsibilities
Client represents that it and its users may use the service for their brokerage activity, that they have the rights needed for the materials they upload, and that they will honor opt-out requests from people they contact through the service. Client will indemnify Brokerteq and its officers, employees, and agents against losses and reasonable attorneys’ fees arising from Client’s breach or from materials Client provides.
9. Suspension and termination
Either party may end this agreement for a material breach by written notice. If the breach is not cured within 30 days, the agreement ends. Brokerteq may suspend access for nonpayment after the period in section 2, for a license violation, or for a confidentiality violation. Brokerteq may end the agreement without cause on 30 days’ written notice. Fees already incurred remain due. Confidentiality, indemnification, the liability limit, and governing law continue after termination.
10. Limitation of liability
Brokerteq’s total liability under this agreement is limited to the subscription fees Client paid during the 12 months before the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, even if advised of the possibility. This limit does not apply to Client’s indemnification duty or to a deliberate infringement of Brokerteq’s intellectual property.
11. Disclaimer
The service is provided as is. Brokerteq does not guarantee uninterrupted availability or a particular business result. Brokerteq disclaims implied warranties of merchantability, fitness for a particular purpose, and title, to the extent the law allows.
12. Assignment and governing law
Client may not assign this agreement without Brokerteq’s written consent. Brokerteq may use subcontractors. North Carolina law governs. The state and federal courts in North Carolina have exclusive jurisdiction. If Brokerteq prevails in a proceeding to enforce this agreement, it may recover its reasonable attorneys’ fees and costs.
13. General
If a court holds a provision unenforceable, the rest remains in effect. A party is not in default for a delay caused by events beyond its reasonable control. Payment duties are not delayed by those events. This agreement is the entire agreement for the service and replaces earlier agreements on the same subject. Brokerteq may update these terms by posting the update. Continued use after the update is acceptance of the updated terms.
